Terms of Service
1. Who these terms are between
These Terms of Service are an agreement between you (or the company you represent — "you," "your," "Client") and CoreLever LLC, a South Carolina limited liability company ("CoreLever," "we," "us"). By creating an account, submitting an assessment, or paying an invoice, you accept these terms. If you are accepting on behalf of a company, you confirm you are authorized to bind it.
Where you and CoreLever LLC have signed a separate Master Services Agreement or Statement of Work, that document controls to the extent it conflicts with these terms.
2. What we provide
CoreLever's service is an assessment that produces a written Digitalization Roadmap. Depending on the tier you buy, the deliverable may include a baseline assessment, a prioritized list of recommended changes ("levers") ranked by impact, effort and estimated cost, ROI and payback estimates, illustrative solution categories and providers, a proposed architecture view, a process flow and tools map, a phased 30/90/180-day plan, and a statement of the assumptions and data gaps we worked from.
Every report is drafted with the assistance of AI tooling and then reviewed, fact-checked, edited and approved by a person at CoreLever before delivery. That review step applies to every report at every tier. Our use of AI in the drafting process is described in the Privacy Policy.
What is included at each tier is set out on our Pricing page, which forms part of these terms.
3. What the roadmap is — and what it is not
This section matters more than any other. Read it.
- The roadmap is a set of recommendations, not a guarantee of results. We do not promise any particular saving, revenue increase, efficiency gain, payback period, or business outcome.
- Cost, savings and payback figures are estimates. They are drawn from your submitted data and from published industry benchmarks. They are not quotes. Confirm actual pricing directly with vendors before committing budget.
- Named vendors and products are illustrative, not endorsements. We are not a reseller, we do not accept referral fees or commissions from any vendor we name, and we have no financial relationship with them. Run your own evaluation before you buy anything.
- The roadmap depends entirely on the accuracy of what you give us. If your submitted KPIs, process descriptions or constraints are wrong or incomplete, the analysis built on them will be too. Where we had to assume something, we say so in the report's Assumptions and Data Gaps section — read it.
- We are not your accountant, attorney, engineer, or compliance advisor. Nothing in a roadmap is legal, tax, accounting, engineering or regulatory-compliance advice. If you operate in a regulated industry, validate any recommendation against your industry's requirements with your own counsel or compliance function before implementing it.
- Capital and hardware recommendations carry higher stakes than software or process ones. Where a roadmap recommends physical equipment, we will say so and recommend a vendor consultation, site visit or pilot before you commit capital. Take that seriously.
Implementation decisions are yours. You are responsible for deciding what to act on, for how you act on it, and for the results.
4. Your account
- You must give accurate registration information and keep it current.
- You are responsible for keeping your login credentials confidential and for everything done under your account. Tell us immediately at support@core-lever.com if you suspect unauthorized access.
- One account is for one business. Do not share credentials outside your organization.
- You must be at least 18 and using CoreLever for business purposes.
5. What you submit
You keep ownership of everything you send us. By submitting it, you grant CoreLever a limited, non-exclusive licence to use, store, process, transcribe and analyze it for the sole purpose of producing and supporting your roadmap, and to transmit it to the subprocessors listed in our Privacy Policy for that purpose. That licence ends when we delete your data.
You confirm that you have the right to send us everything you send, and that it does not infringe anyone's rights or breach any confidentiality obligation you owe someone else.
Do not upload: personal data about your employees or customers beyond what is genuinely necessary; protected health information; payment card numbers; government identification numbers; classified or export-controlled material; or anything unlawful, malicious, or infringing. We may remove such material and, in serious cases, suspend your account.
6. Acceptable use
You agree not to: resell, sublicense or redistribute our reports or templates as your own product; use the service to build a competing assessment or roadmap product; scrape, reverse-engineer or systematically extract our content; attempt to breach or probe our security; interfere with the service's operation; or use CoreLever for anything unlawful.
You may freely share your own delivered roadmap inside your organization and with your own advisors, lenders, board and investors. That is what it is for.
7. Intellectual property
Yours: your submitted data, and the delivered roadmap report itself once paid for — you may use it internally without restriction, forever.
Ours: the CoreLever name and marks, the website, the report templates and formats, our review checklist and methodology, our Digitalization Lever Library, and all underlying software and know-how. Delivering a report to you does not transfer any of that. We may use general knowledge, methods and improvements gained from doing your work to serve other clients, provided we never disclose your confidential information in doing so.
8. Fees, billing and taxes
8.1 Setup fee
The one-time Setup fee for your tier is due before work begins unless we agree otherwise in writing. Work starts once payment clears and your submission is complete.
8.2 Subscription
The optional Subscription bills monthly in advance, automatically, until cancelled. It unlocks the client workspace and the export features described on the Pricing page. Billing does not begin until your own workspace has been provisioned and you have been given access; the anniversary of that date is your billing date.
8.3 Cancelling
Cancel any time by emailing support@core-lever.com. Cancellation takes effect at the end of the current billing period; we do not pro-rate partial months. Every report we have delivered to you is yours permanently, subscription or not — the files are yours to keep, and you can export everything in your workspace to CSV and PowerPoint at any time before you go. Tell us when you want the workspace closed and we delete it then, and confirm back to you.
8.4 Refunds
Because each assessment is bespoke work performed to order, Setup fees are non-refundable once analysis has begun. If you cancel before we start, you get a full refund. If a delivered report materially fails to include what your tier promised, tell us within 14 days of delivery and we will correct it, or refund the Setup fee if we cannot. Subscription fees already charged are not refundable, but you will not be charged again after cancelling.
8.5 Late payment
Overdue invoices may accrue interest at 1.5% per month (or the maximum the law allows, if lower), and we may suspend service until the account is current.
8.6 Taxes
Prices exclude tax. South Carolina treats cloud-delivered software services as taxable, and applicable state and local sales tax will be added at checkout. You are responsible for any other taxes arising from your use of the service, except taxes on our income.
8.7 Price changes
We may change prices with at least 30 days' notice by email. Changes apply from your next billing period; you may cancel before they take effect.
9. Turnaround and availability
Turnaround targets published on the site are targets, not contractual deadlines, and the clock starts when we have a complete submission. If your submission has gaps, we will come back to you, and the timeline extends accordingly. We aim to keep the site and portal available continuously but do not guarantee uninterrupted access, and we may take the service down for maintenance. No formal uptime SLA applies unless one is written into a signed agreement with you.
10. Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. This applies to every client at every tier, whether or not a separate NDA is signed. It does not cover information that is public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law — and in that last case the disclosing party will be given notice where legally permitted. These obligations survive termination for three years, and indefinitely for anything that qualifies as a trade secret.
We will not publish your name, logo, or any identifiable detail of your business as a case study, testimonial or reference without your prior written permission.
11. Warranties and disclaimers
We warrant that we will perform the service with reasonable skill and care, consistent with professional standards for this kind of analysis, and that every report will be reviewed by a person before delivery.
Otherwise, and to the fullest extent permitted by law, the service and all deliverables are provided "as is" and "as available." We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any recommendation will produce any particular result.
12. Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised such damages were possible.
- CoreLever's total aggregate liability arising out of or relating to these terms or the service is capped at the total fees you paid to CoreLever in the twelve months immediately before the event giving rise to the claim.
- Nothing in these terms limits liability that cannot lawfully be limited — including fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
You acknowledge that this allocation of risk is reflected in our pricing, and that we would not provide the service at these prices without it.
13. Indemnity
You will defend and indemnify CoreLever against third-party claims arising from: material you submitted that you did not have the right to submit; your breach of Section 6 (Acceptable Use); or your implementation of, or failure to implement, anything in a roadmap.
14. Suspension and termination
You may close your account at any time. We may suspend or terminate your access if you materially breach these terms and do not fix it within 10 days of written notice, if payment is more than 30 days overdue, or immediately where required by law or where continued service would expose us to legal risk. On termination the 30-day read-only export window in Section 8.3 applies, and the reports already delivered to you remain yours permanently. Sections 3, 5 (ownership), 7, 8 (amounts owed), 10, 11, 12, 13 and 16 survive termination.
15. Changes to these terms
We may update these terms. Material changes will be posted here with a new effective date and emailed to active clients at least 30 days before they take effect. Continued use after that date means you accept them. If you do not, cancel before they take effect.
16. Governing law and disputes
These terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Charleston County, South Carolina.
Before filing anything, both parties agree to try in good faith to resolve the dispute informally: the complaining party sends written notice describing the issue, and the parties have 30 days to work it out. Nothing here prevents either party from seeking injunctive relief for misuse of intellectual property or breach of confidentiality.
17. General
These terms, together with the Pricing page, the Privacy Policy, and any signed Statement of Work or Master Services Agreement, are the entire agreement between us and supersede any prior discussions. If any provision is held unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it in connection with a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control. There are no third-party beneficiaries. The parties are independent contractors — nothing here creates a partnership, joint venture, agency, or employment relationship.
